1. Parties to the Agreement and Scope of Application

Parties to the Agreement: This Agreement is entered into by and between you and us (operating under the entity “Zicalstar”, hereinafter referred to as “Zicalstar” or “we/us/our”).

Scope of Application: These Terms govern material information regarding your rights and obligations in connection with your use of our website, mobile applications, and smart calendar, as well as the terms, restrictions, and exclusions of liability that may apply to you.

2. Eligibility to Use and Acceptance of Terms

Eligibility Restrictions: You may not subscribe to or access any products and/or services if you do not agree to these Terms, have not reached the legal age to enter into a contract (18 years of age or the local legal age, whichever is higher), or your access to and/or use of the products and/or services is prohibited by applicable law.

Manner of Acceptance: By subscribing to products/services via the website, clicking “I Agree” when registering for products, or continuing to use the products and/or services, you shall be deemed to have accepted all contents of these Terms. Zicalstar may revise these Terms at any time and post the updated version on the website. The revised Terms shall be binding on your subsequent use activities.

3. Registration

When you register for our products or services, you will be required to create a personal profile, which includes but is not limited to your username, email address, and personal information you wish to disclose.

4. General Restrictions on Use

Materials: We provide you with certain information, documentation, materials, and services through the website, products, and/or services, including content, logos, graphics, and images (collectively, the “Materials”), which include works protected by copyright and/or trademark rights. The Materials do not include your content.

License: Zicalstar grants you a limited, personal, non-exclusive, and non-transferable license to use the Materials solely for your personal, non-commercial purposes. Except for the license granted above, you acknowledge and agree that you have no right to modify, edit, copy, reproduce, create derivative works of, reverse engineer, alter, enhance, or otherwise exploit any Materials in any manner, except for your personal use as part of the products and/or services. This limited license shall automatically terminate without prior notice if you breach any provision of these Terms. Upon termination of this limited license, you agree to immediately destroy all downloaded or printed Materials. Unless otherwise provided in this Agreement, you acknowledge that you have no right, title, or interest in or to the website, any Materials, or the products and/or services.

Restrictions: You are granted access to and use of the products and/or services, provided that Zicalstar reserves the right to review such use. You are responsible for ensuring the security and confidentiality of all login identifiers, including usernames and passwords, assigned to you or created by you to access or use the products and/or services (“IDs”). You agree to be fully liable for all acts and omissions conducted through your ID in connection with access to and use of the products and/or services, and shall immediately notify Zicalstar upon discovering any unauthorized access to or use of the products and/or services. You shall render all reasonable assistance to Zicalstar to prevent such unauthorized access or use.

API Usage Restrictions: You shall act in good faith and only call interfaces to implement the functions agreed under these Services. You shall not compromise the platform’s system security, affect service stability, or infringe upon the rights and interests of other users. “Bulk calls” are prohibited, including any interface calls that may consume excessive system resources and impair service quality (as reasonably determined by Zicalstar).

5. Privacy Policy

We respect and are committed to protecting your privacy. Our Privacy Policy (https://www.zicalstar.com/privacy-policy) governs how we process all personal data collected from you in connection with your purchase of products and/or services, interactions via the website, and other means.

6. Changes to Products and Services

These products and services are primarily intended for displaying your content in digital form within Zicalstar products. Zicalstar reserves the right to enhance or otherwise modify the products (including via software updates) and/or services at any time, provided that such changes do not materially affect their overall functionality. Zicalstar may permit or require you to download updates or patches to your Zicalstar products. Certain updates may be necessary for the continued use of Zicalstar products and services. You consent to Zicalstar automatically installing available updates for Zicalstar products and services. Failure to install available updates may render Zicalstar products and/or services unusable.

7. Ownership

Nothing in this Agreement or any provision hereof shall transfer to you any ownership of or any license not expressly granted herein with respect to Zicalstar’s intellectual property rights (including but not limited to any products and/or services or the website). All right, title, and interest in and to the foregoing, as well as Zicalstar’s legally protected methods, processes, systems, operations, network or customer support methods or technologies, or any other type of technology and all intellectual property rights therein, shall be the exclusive property of Zicalstar.

8. Service Suspension and Termination

Zicalstar may temporarily suspend services for reasons including but not limited to maintenance, addressing security threats, complying with legal, regulatory or internet service provider requirements, and resolving user violations. You may cease using the products and/or services at any time. Zicalstar reserves the right to suspend or terminate your access rights at any time (e.g., if you breach these Terms) and shall use reasonable efforts to notify you in advance and assist you in retrieving your data. Services may be suspended immediately under exceptional circumstances. In the event of a material business restructuring or other circumstances deemed necessary by Zicalstar, Zicalstar reserves the right to terminate Zicalstar services and this Agreement upon 30 days’ prior notice to users via written notice, public statement, or other reasonable means.

9. Disclaimer

To the fullest extent permitted by applicable law, the duration of all implied warranties (except those that may not be disclaimed) relating to the merchantability or fitness for a particular purpose of the products shall be limited to the duration of any applicable express warranties. All other express or implied conditions, representations, and warranties, including without limitation any implied warranty of non-infringement, are disclaimed to the fullest extent permitted by law. Some jurisdictions do not allow limitations on the duration of implied warranties, so the above limitation may not apply to you. This warranty gives you specific legal rights, and you may also have other rights which vary by jurisdiction; these Terms shall not modify such rights unless to the extent permitted by applicable law.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Zicalstar and its affiliates, agents, or principals shall not be liable for any personal injury or any incidental or consequential damages arising out of the use of the software and services, including but not limited to loss of profits, loss/corruption/disclosure of data, business interruption, or other commercial losses (whether based on contract, tort, or otherwise, even if Zicalstar has been advised of the possibility of such damages). Some jurisdictions may not allow the exclusion or limitation of liability for personal injury or incidental/consequential damages, in which case local law shall prevail. Except in cases involving personal injury and as expressly required by law, Zicalstar’s total aggregate liability for all damages claimed by you shall not exceed USD 99.00. This limitation shall apply even if the foregoing remedy fails of its essential purpose.

12. Feedback and Miscellaneous

Ownership of Feedback: All feedback provided by you in connection with the products and/or services (including suggestions, comments, improvements, etc.) shall be the exclusive property of Zicalstar. You agree to assign all relevant rights to such feedback to Zicalstar and assist Zicalstar in improving or implementing relevant solutions.

Force Majeure: Neither party shall be liable for failure to perform this Agreement due to force majeure events (e.g., natural disasters, wars, etc., excluding insufficient funds). If performance is affected for more than 90 days, the non-affected party shall have the right to terminate this Agreement by written notice.

General Provisions: These Terms constitute the entire agreement between you and Zicalstar and supersede all prior related agreements or arrangements. This Agreement does not create any third-party beneficiary rights.

12. Liability and Dispute Resolution

Liability for Unauthorized Activities: Your use of the products and/or services and third-party content in breach of these Terms may constitute illegal acts. You shall defend and indemnify Zicalstar and other indemnitees against any losses suffered as a result of your conduct. Zicalstar reserves the right to report illegal activities and cooperate with relevant authorities in investigations.

Reservation of Intellectual Property Rights: Zicalstar reserves all intellectual property rights relating to the products and/or services. Any rights not expressly granted to you under this Agreement shall not be assigned.

Dispute Resolution: Any dispute arising hereunder shall first be resolved through friendly consultations. If no resolution can be reached, such dispute shall be submitted to the competent court at the place of Zicalstar’s registration for litigation.
